Terms of Service

By accessing or using MagicLead.ai ("Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you are accepting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree to these Terms, do not use the Service.

MagicLead.ai provides an AI-powered chat widget platform that insurance agencies ("Agency Customers") embed on their websites to engage visitors, answer questions, and capture lead information. The Service includes the web dashboard, the embeddable chat widget, lead management tools, and related features.

Important: The AI agent provides general information to help visitors understand insurance products and connect with the agency. It is not a licensed insurance agent, does not provide insurance advice, and does not bind coverage. All coverage decisions must be made by a licensed professional.

To use MagicLead.ai you must be: (a) at least 18 years old, (b) operating a legitimate insurance agency or related business, and (c) capable of forming a binding agreement.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@magiclead.ai if you suspect unauthorized access.

One account per agency. You may add team members as additional users within your plan's limits. You are responsible for ensuring team members comply with these Terms.

You agree not to use the Service to:

• Violate any applicable law, regulation, or insurance industry rule.
• Impersonate another person, agency, or entity.
• Upload or distribute malicious code, spam, or deceptive content.
• Scrape, reverse-engineer, or otherwise attempt to extract the underlying AI model or system prompts.
• Use the AI agent to make representations about coverage that are inaccurate or that you are not licensed to make.
• Collect visitor data in ways that violate applicable privacy laws (including TCPA, CAN-SPAM, GDPR, and CCPA).
• Resell or sublicense access to MagicLead to third parties without our written consent.

As an Agency Customer, you are solely responsible for:

• Ensuring your use of the Service complies with all applicable insurance regulations in your jurisdiction.
• Obtaining any required consents from website visitors before collecting their personal information via the chat widget.
• Displaying appropriate privacy notices on your website disclosing the use of AI chat technology.
• The accuracy of all information you provide to train the AI agent (knowledge base, agency details).
• Promptly following up with leads captured through the Service in compliance with applicable laws.
• The actions of your team members who use MagicLead under your account.

MagicLead offers paid subscription plans billed monthly. Current pricing is displayed at magiclead.ai/pricing. We reserve the right to change pricing with 30 days' notice to existing subscribers.

Subscriptions automatically renew each month unless cancelled. You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period; no partial-month refunds are issued except where required by law.

If a payment fails, we will retry the charge and notify you. After 7 days of non-payment, access may be suspended. After 30 days of non-payment, the account and associated data may be deleted.

MagicLead.ai and its underlying technology, design, trademarks, and content are owned by MagicLead.ai and protected by intellectual property laws. These Terms do not transfer any ownership to you.

You retain ownership of all content you upload to MagicLead (knowledge base documents, agency information, etc.) and all lead data captured through your widget. You grant us a limited, non-exclusive license to process that content solely to provide the Service.

We may use anonymized, aggregated data about how the Service is used to improve our product. We will not identify you or your agency in any such analysis without consent.

The chat responses generated by MagicLead are produced by a large language model (Claude, by Anthropic). While we work to ensure responses are accurate and appropriate, AI systems can make mistakes or produce unexpected outputs.

You acknowledge that: (a) AI-generated responses are not a substitute for professional insurance advice; (b) MagicLead does not guarantee the accuracy or completeness of any AI-generated response; (c) you are responsible for reviewing agent behavior and configuring it appropriately for your agency.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, MAGICLEAD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MAGICLEAD BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR REVENUE, LOSS OF LEADS OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR DIRECT DAMAGES SHALL NOT EXCEED THE AMOUNT YOU PAID TO MAGICLEAD IN THE THREE MONTHS PRECEDING THE CLAIM.

You agree to indemnify and hold harmless MagicLead.ai and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit or your agency's AI agent communicates to visitors.

Either party may terminate the Service at any time. You may cancel via your account settings. We may suspend or terminate your account immediately if: (a) you violate these Terms; (b) your payment method fails and is not resolved within 30 days; or (c) we determine your use poses a risk to us, other users, or the public.

Upon termination, your access to the Service will end. You may export your lead and conversation data from the dashboard before your account closes. After the retention period described in our Privacy Policy, data is permanently deleted.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any dispute arising from these Terms or the Service shall first be submitted to good-faith negotiation. If unresolved after 30 days, disputes shall be resolved by binding arbitration administered under the rules of the American Arbitration Association, with proceedings conducted in English.

Class action waiver: You agree to resolve disputes with MagicLead on an individual basis only and waive any right to participate in a class action.

We may modify these Terms at any time. We will notify you by email and in-app notice at least 14 days before material changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the changes, you must cancel your account before the effective date.
